Prophit LLC is not affiliated with, endorsed by, or sponsored by the National Hockey League (NHL), the National Football League (NFL), Major League Baseball (MLB), or any other professional sports league or organization. All team names, logos, player names, and related marks are the property of their respective owners and are referenced solely for informational purposes.

Entertainment and Content Only. Prophit is a sports analytics and content platform. We do not accept wagers, operate a sportsbook, or facilitate real-money betting of any kind. All content is provided for entertainment and informational purposes only.

Financial Risk Notice. Sports betting involves substantial financial risk. If you choose to use our content in connection with wagering, you do so entirely at your own risk and may lose money, including all funds wagered. Prophit LLC bears no responsibility for any resulting financial losses.

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the websites located at getprophit.ai and app.getprophit.ai and all related services offered by Prophit LLC, a Massachusetts limited liability company ("Prophit," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be legally bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, you may not use the Services.

The Services are intended solely for users who are 18 years of age or older. By using the Services, you represent and warrant that you meet this requirement. Users under 18 are strictly prohibited.

2. Nature of the Service — Entertainment and Content Only

Prophit is not a gambling or wagering service. Prophit provides data-driven player performance analysis, predictive modeling, and editorial commentary for entertainment and informational purposes. We do not:

Your choice to act on this content is entirely your own. If you use Prophit content in connection with sports wagering, you do so at your own risk. You may lose money, including all funds wagered. Prophit LLC is not liable for any resulting financial losses.

Prophit LLC is an independent analytics and content company. We are not affiliated with, endorsed by, sponsored by, or connected to:

All team names, player names, statistics, and related intellectual property belong to their respective owners. References are made solely for analytical and descriptive purposes. Nothing on our platform implies any affiliation, partnership, or endorsement by any sports organization.

4. Responsible Gaming

Prophit encourages all users who engage in sports wagering to do so responsibly. If you or someone you know has a problem with gambling, free and confidential help is available:

5. Changes to Terms

We may update these Terms at any time. When we make material changes, we will update the date above and notify you by email where appropriate. Continued use of the Services after any change constitutes your acceptance of the revised Terms.

6. Subscriptions and Billing

Certain features are offered on a subscription basis with automatic recurring billing. Your subscription renews at the end of each billing cycle unless you cancel before the renewal date. Payment is processed by Stripe. By subscribing, you authorize Prophit to charge your payment method for all applicable fees. You are responsible for keeping your billing information current. Failure to pay may result in suspension or termination of your account.

7. Free Trials

We may offer a free trial at our discretion. If you provide billing information during a free trial, you will not be charged until the trial expires. UNLESS YOU CANCEL BEFORE THE LAST DAY OF THE FREE TRIAL, YOU WILL BE AUTOMATICALLY CHARGED THE APPLICABLE SUBSCRIPTION FEE. We reserve the right to modify or cancel free trial offers at any time without notice.

8. Fee Changes

We reserve the right to modify subscription fees at any time. We will notify you by email in advance of any price change. If you do not agree to the new pricing, you may cancel before the change takes effect. Continued use after a fee change constitutes acceptance.

9. Refunds

We do not guarantee refunds. Refund requests may be considered on a case-by-case basis at our sole discretion.

10. Accounts

When creating an account, you represent that you are at least 18 years old and that all information you provide is accurate and current. You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use or security breach. Prophit reserves the right to terminate accounts that violate these Terms or provide false information.

11. Multi-Account Policy

Each user may maintain only one account. Accounts are non-transferable and are for personal use only. Selling, transferring, or sharing accounts is prohibited. If we detect multi-accounting or account sharing, we may suspend or permanently terminate all associated accounts.

12. Intellectual Property

All content, software, data, models, algorithms, graphics, trademarks, and other materials provided through the Services are owned by or licensed to Prophit LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Prophit content without our prior written consent. Use of our content for commercial purposes — including reselling, redistributing, or providing access to third parties — is strictly prohibited.

13. Feedback

Any feedback, suggestions, or ideas you submit to us become the property of Prophit and may be used for any business purpose without compensation to you.

14. Third-Party Links and Sportsbooks

The Services may contain links to third-party websites, including sportsbooks. These links are provided for convenience only. Prophit does not own, operate, endorse, or control any third-party platform and is not responsible for their content, terms, or practices.

Where the Services surface odds or deep links to third-party sportsbooks, those features rely on data feeds outside our control. Prophit does not warrant the accuracy or availability of any odds data. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND CONFIRMING ALL WAGER DETAILS ON ANY SPORTSBOOK PLATFORM BEFORE PLACING ANY BET.

15. Artificial Intelligence and Automated Content

AI-Generated Content. Some content, analysis, predictions, and recommendations available through the Services are generated or assisted by artificial intelligence tools, including large language models. AI-generated content is identified where reasonably practicable, but not all AI-assisted content may be explicitly labeled as such.

No Guarantee of Accuracy. AI-generated content is produced by probabilistic models and may contain errors, omissions, outdated information, or outputs that appear plausible but are factually incorrect. YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT IS PROVIDED FOR ENTERTAINMENT AND INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND, INCLUDING SPORTS WAGERING ADVICE.

Real-Time Limitations. AI-generated analysis may not reflect current player status, injury reports, lineup changes, or other developments that occur after the underlying data was processed. You are solely responsible for verifying time-sensitive information before acting on it.

No Substitute for Independent Judgment. AI-generated picks and analysis should never be relied upon as the sole basis for any financial decision, including sports wagering.

AI Tools. We currently use AI services including Anthropic's Claude models to power certain platform features. We may change, add, or discontinue AI tools at any time without notice. Our use of AI tools is governed by those providers' terms and policies.

Evolving Landscape. AI technology and its regulatory environment are rapidly evolving. We reserve the right to update our AI-related practices and disclosures as the law and technology develop.

16. Prohibited Uses

You agree not to use the Services to:

17. Termination

Prophit may suspend or terminate your account at any time, with or without notice, for any reason including violation of these Terms. Upon termination, all licenses cease immediately. Sections that by their nature should survive termination — including intellectual property rights, indemnification, disclaimers, limitation of liability, assumption of risk, and dispute resolution — will continue to apply.

18. Indemnification

You agree to defend, indemnify, and hold harmless Prophit LLC and its members, managers, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Services.

19. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. PROPHIT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. ALL PICKS, PREDICTIONS, AND ANALYTICAL CONTENT ARE OPINIONS ONLY AND ARE NOT GUARANTEES OF ANY OUTCOME. YOUR USE OF THE SERVICES AND ANY DECISIONS YOU MAKE BASED ON THE CONTENT, INCLUDING ANY DECISION TO PLACE A SPORTS WAGER, ARE MADE ENTIRELY AT YOUR OWN RISK.

20. Assumption of Risk — Sports Wagering

YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND AGREE TO THE FOLLOWING:

No Picks Guarantee. Prophit does not guarantee that any pick, prediction, probability score, or recommendation will result in a winning wager. Sports outcomes are inherently unpredictable. Past performance of any pick, model, or analytical framework is not indicative of future results. You may lose some or all funds wagered.

Your Decision, Your Risk. The decision to place any wager is yours alone. By using Prophit content in connection with any wagering activity, you assume full responsibility for any financial losses that result, regardless of whether those losses are attributable to inaccurate picks, incomplete data, system errors, AI-generated content, delayed information, or any other cause.

No Fiduciary or Advisory Relationship. Your use of the Services does not create any fiduciary, advisory, or professional relationship between you and Prophit LLC. Nothing in the Services constitutes financial advice, investment advice, or sports wagering advice. Prophit is a content and entertainment company, not a licensed advisor or gambling operator.

Release of Claims. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE, WAIVE, AND DISCHARGE PROPHIT LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR DECISION TO PLACE ANY SPORTS WAGER BASED ON CONTENT FROM THE SERVICES, INCLUDING CLAIMS ARISING FROM PICKS THAT DID NOT WIN, INACCURATE ODDS DATA, AI-GENERATED CONTENT, OR ANY OTHER ANALYTICAL OUTPUT.

21. System Failures and Service Availability

Prophit does not guarantee continuous, uninterrupted, or error-free access to the Services. You acknowledge and agree that:

Downtime and Outages. The Services may be temporarily unavailable due to maintenance, server failures, third-party service disruptions, or other causes. Prophit is not liable for any losses — including missed wagering opportunities — arising from any period of unavailability.

Data Timeliness. Player statistics, injury information, lineup data, odds, and other time-sensitive data are sourced from third parties and may be delayed, incomplete, or inaccurate. You are solely responsible for confirming the accuracy and currency of any data before acting on it.

Odds and Line Changes. Odds change continuously. Any odds displayed in the Services reflect data as of a specific point in time and may not reflect current market conditions. Prophit is not responsible for any discrepancy between odds displayed and odds available at any sportsbook.

Algorithm and Model Errors. Our predictive models are complex systems subject to bugs, data feed errors, and miscalibration. Prophit does not warrant the correctness of any algorithmic output and is not liable for losses arising from model errors.

Force Majeure. Prophit is not liable for failures or delays resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party platform failures.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROPHIT LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR IN CONNECTION WITH THE SERVICES, INCLUDING:

THIS LIMITATION APPLIES EVEN IF PROPHIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PROPHIT'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PROPHIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00), REGARDLESS OF THE LEGAL THEORY ASSERTED.

Some jurisdictions do not allow certain limitations on liability. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved as follows:

Step 1 — Informal Resolution (Required). Before filing any formal claim, you must contact us at legal@getprophit.ai with a written description of the dispute, the relief you are seeking, and your contact information. The parties will negotiate in good faith for thirty (30) days from receipt of notice.

Step 2 — Small Claims Court. If the dispute is not resolved informally and the claim qualifies, either party may bring an individual action in a Massachusetts small claims court.

Step 3 — Court Proceedings. For claims that do not qualify for or are not resolved in small claims court, either party may pursue the claim in a court of competent jurisdiction. You and Prophit each consent to personal jurisdiction and venue in Suffolk County, Massachusetts.

Class Action Waiver. WHETHER A DISPUTE IS RESOLVED INFORMALLY, IN SMALL CLAIMS COURT, OR IN ANY OTHER COURT, YOU AND PROPHIT AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, OR REPRESENTATIVE PROCEEDING. No judge may consolidate more than one person's claims or preside over any representative proceeding. If this waiver is found unenforceable in a particular case, that case shall proceed in a court of competent jurisdiction and not in arbitration.

Statute of Limitations. Any claim arising from or related to these Terms or the Services must be filed within one (1) year after the cause of action accrues. Claims not filed within this period are permanently barred.

24. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, incorporated into these Terms by reference and available at getprophit.ai/privacy.

25. Entire Agreement; Severability

These Terms and the Privacy Policy constitute the entire agreement between you and Prophit LLC with respect to the Services and supersede all prior agreements. If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force. Our failure to enforce any right or provision is not a waiver of that right.
